Shell Finalizes $1.3 Billion Divestment of Jiffy Lube International to Monomoy

The comprehensive divestment yields corporate control over the Jiffy Lube registered trademark and its operating network of over 2,000 franchise-owned and corporate service facilities across the United States and active licensees throughout Canadian provinces.
Restructuring the upper echelons of the North American preventative maintenance landscape, Shell USA’s lubricants business has finalized the $1.3 billion USD sale of Jiffy Lube International (JLI) and its subsidiary Premium Velocity Auto (PVA) LLC to an affiliate of private equity firm Monomoy Capital Partners.
The comprehensive divestment yields corporate control over the Jiffy Lube registered trademark and its operating network of over 2,000 franchise-owned and corporate service facilities across the United States and active licensees throughout Canadian provinces. Specializing in fluid exchanges, high-volume oil changes, and light mechanical repair profiles, the Jiffy Lube network historically commanded approximately 6.5% of Shell’s aggregate commercial and retail lubricants volume across Canada and the U.S.
For Canadian automotive service providers, fleet dispatch operators, and wholesale distributors, the transaction guarantees brand and supply chain continuity. Shell has explicitly retained total ownership, manufacturing infrastructure, and commercial marketing operations for its core premium lubricant portfolios, including Pennzoil, Quaker State, and Rotella across both the Canadian and U.S. industrial and consumer sectors.
As a structural anchor to the closing terms, Pennzoil Quaker State Company has locked in a binding, long-term lubricants supply agreement with Monomoy. This guarantees that Jiffy Lube service bays will remain standardly integrated with legacy Pennzoil chemistry, maintaining product continuity and premium fluid specifications across late-model passenger vehicle fleets.
