Cela vient en grande partie de l\u2019aspect \u00e9motionnel associ\u00e9 \u00e0 une soci\u00e9t\u00e9 que l\u2019on a b\u00e2tie soi-m\u00eame, alors que les acheteurs s\u2019appuient sur des donn\u00e9es financi\u00e8res objectives et sur les conditions du march\u00e9. La d\u00e9connexion survient souvent au moment de la vente, lorsque l\u2019attachement du propri\u00e9taire entre en conflit avec le montant que des acheteurs sont pr\u00eats \u00e0 offrir pour le potentiel futur de l\u2019entreprise.<\/p>\n<p><strong>Point de vue subjectif<\/strong><\/p>\n<p>La valeur per\u00e7ue par un propri\u00e9taire est teint\u00e9e d\u2019\u00e9l\u00e9ments personnels et peut mener \u00e0 une \u00e9valuation trop \u00e9lev\u00e9e. Le propri\u00e9taire a consacr\u00e9 des ann\u00e9es d\u2019efforts, de temps et de sacrifices pour faire cro\u00eetre l\u2019entreprise. Pourtant, cet investissement personnel ne se refl\u00e8te pas dans la valeur marchande. Beaucoup surestiment les revenus futurs ou les perspectives de croissance et attribuent \u00e0 l\u2019entreprise une valeur qui ne repose pas n\u00e9cessairement sur des projections r\u00e9alistes ni sur une lecture fid\u00e8le du march\u00e9. Une gestion financi\u00e8re approximative, par exemple le m\u00e9lange de d\u00e9penses personnelles et professionnelles, peut aussi masquer la rentabilit\u00e9 r\u00e9elle et fausser l\u2019image financi\u00e8re g\u00e9n\u00e9rale. Enfin, une part du succ\u00e8s de l\u2019entreprise peut d\u00e9pendre du savoir-faire, des relations ou des qualit\u00e9s du propri\u00e9taire. Ces \u00e9l\u00e9ments ne sont pas transf\u00e9rables \u00e0 un acheteur et ne contribuent donc pas \u00e0 la valeur de la soci\u00e9t\u00e9. Une entreprise trop d\u00e9pendante de son propri\u00e9taire a une valeur limit\u00e9e, voire nulle.<\/p>\n<p>L\u2019\u00e9valuation sur le march\u00e9 suit des m\u00e9thodes objectives et normalis\u00e9es qui refl\u00e8tent le point de vue de l\u2019acheteur sur les risques et les rendements futurs. Les m\u00e9thodes comme les flux de tr\u00e9sorerie actualis\u00e9s et les multiples de b\u00e9n\u00e9fices, notamment le BAIIA, permettent d\u2019estimer la performance future d\u2019entreprises d\u00e9j\u00e0 bien \u00e9tablies, qui g\u00e9n\u00e8rent des rendements solides et dont la valeur d\u00e9passe celle de leurs actifs. Les m\u00e9thodes fond\u00e9es sur le march\u00e9 appliquent un multiple de BAIIA, de revenus ou d\u2019autres indicateurs. Le choix du multiple et du ratio d\u00e9pend de nombreux facteurs, comme l\u2019industrie, la taille de l\u2019entreprise, les conditions de march\u00e9 et les transactions r\u00e9alis\u00e9es pour des soci\u00e9t\u00e9s comparables. La m\u00e9thode la plus appropri\u00e9e varie selon l\u2019objectif de l\u2019\u00e9valuation et les caract\u00e9ristiques de l\u2019entreprise, sa rentabilit\u00e9, ses perspectives et la composition de ses actifs.<\/p>\n<p><strong>S\u2019entendre sur un prix<\/strong><\/p>\n<p>Mettre une entreprise en vente \u00e0 un prix \u00e9lev\u00e9 provoque souvent les m\u00eames difficult\u00e9s : un manque d\u2019int\u00e9r\u00eat, une perte de cr\u00e9dibilit\u00e9 quant \u00e0 la valeur r\u00e9elle et des offres tr\u00e8s basses. Des attentes irr\u00e9alistes sont l\u2019une des principales causes d\u2019\u00e9chec des n\u00e9gociations. Beaucoup de transactions \u00e9chouent parce que propri\u00e9taire et acheteur ne parviennent pas \u00e0 s\u2019entendre sur un prix final jug\u00e9 \u00e9quitable.<\/p>\n<p>Un autre \u00e9l\u00e9ment qui influence la valeur est la fa\u00e7on dont la transaction est structur\u00e9e, soit en achat d\u2019actifs ou en achat d\u2019actions. Un achat d\u2019actifs permet \u00e0 l\u2019acheteur de choisir les \u00e9l\u00e9ments qu\u2019il souhaite acqu\u00e9rir et d\u2019\u00e9carter les passifs ind\u00e9sirables. Un achat d\u2019actions implique d\u2019acqu\u00e9rir la totalit\u00e9 des titres et donc l\u2019ensemble des actifs, des passifs et des obligations. Les acheteurs privil\u00e9gient g\u00e9n\u00e9ralement les achats d\u2019actifs pour le contr\u00f4le qu\u2019ils procurent sur les passifs et pour les avantages fiscaux possibles. Les vendeurs pr\u00e9f\u00e8rent souvent les achats d\u2019actions pour leur efficacit\u00e9 fiscale et leur simplicit\u00e9.<\/p>\n<p>Au final, l\u2019acheteur doit effectuer une v\u00e9rification diligente approfondie afin de rep\u00e9rer toute probl\u00e9matique li\u00e9e au pass\u00e9 de l\u2019entreprise. Le march\u00e9 secondaire est un environnement particulier o\u00f9 les nouveaux joueurs sont rares.
